In this form MR01, the following defined terms shall have the meanings given to them herein:. Charged property:. All the assets, property and undertaking for the time being subject to the security interests created by the debenture (and references to the charged property shall include references to any part of it).. Chargee: pricoa mortgage capital, the trading name of the prudential insurance company of america, a corporation established in the state of new jersey and registered with the new jersey secretary of state with number 0900050867 and whose registered office is at 751 broad street, newark NJ07102 as security agent for the secured parties.. Chargor: waldorf hotel investment limited, a private limited liability company incorporated and registered in england and wales with registration number 4216905 and whose registered office is at 14 chester terrace london NW1 4ND.. Debenture: the debenture dated 31 october 2013 between (1) choicezone limited, (2) the chargor and (3) the chargee.. Facility agreement: the facility agreement dated 29 october 2013 between (1) choicezone limited as borrower, (2) choicezone limited and the chargor as obligors, (3) the chargee as arranger, (4) the chargee and friends life limited as lenders, (5) the chargee as agent and (6) the chargee as security agent.. Insurance policies: all present and future contracts or policies of insurance (including life and critical illness policies) in which the chargor has an interest or in which it may from time to time have an interest, (whether solely, jointly, as loss payee or otherwise). Insurance proceeds: all monies from time to time payable to the chargor under or pursuant to the insurance policies, including (without limitation) the refund of any premiums and all related property rights.. Intellectual property: the chargor's present and future patents, trademarks, service marks, trade names, designs, copyrights, inventions, topographical or similar rights, confidential information and know-how and any interest in any of these rights, whether or not registered, including all applications and rights to apply for registration and all fees, royalties and other rights derived from, or incidental to, these rights.. Property: all that freehold property known as the waldorf hotel, london WC2B 4DD with land registry title number LN174408. Properties: all freehold and leasehold properties (whether registered or unregistered) and all commonhold properties, now or in the future (and from time to time) owned by the chargor, or in which the chargor holds an interest (including (but not limited to) the properties which are briefly described in schedule 1) and property means any of them.. Related property rights: means, in relation to any property or asset:. (A) the proceeds of sale and/or other realisation of that property or asset (or any part of it or interest in it);. (A) all security, options, agreements, rights, easements, benefits, indemnities, guarantees, warranties or covenants for title in respect of that property or asset; and. (B) all rights under any lease, licence or agreement for lease, sale or use in respect of that property or asset.. The subjects of this form MR01 are as follows:. 1. the property.. 2. all properties acquired by it in the future.. 3. all of the chargor's present and future interests not effectively mortgaged or charged in, or over, freehold or leasehold property.. 4. all present and future rights, licences, guarantees, rents, deposits, contracts, covenants and warranties relating to the properties and/or the intellectual property.. 5. all licences, consents and authorisations (statutory or otherwise) held or required in connection with the chargor's business or the use of any charged property, and all rights in connection with them.. 6. all the intellectual property.. 7. to the extent not effectively assigned under clause 3.2 of the debenture, the insurance policies and the insuran.
