The due and punctual performance and observance by the company to the chargee of its actual or contingent counter-indemnity obligations in respect of the letter of credit(as defined) which may from time to time arise as a matter of law and its actual or contingent obligations which may from time to time from the date of the deposit charge arise under clause 3 of the reimbursement agreement or under any other provision of the reimbursement agreement (as defined) or the deposit charge or the deed of super-priority (as defined)
