All present and future moneys obligations and liabilities owed by ivanco (no 1) limited (the "borrower") to the lenders and the security trustee (together the "beneficiaries") whether actual or contingent and whether owed jointly or severally as principal or surety and/or in any other capacity whatsoever under or in connection with the loan agreement of even date.

By way of first fixed charge 2 ordinary shares of £1 each in the capital of heaven limited (the "original securities") all other stocks shares loan capital securities bonds and investments of any kind whatsoever (whether or not marketable) relating to the original securities at the date of the charge or at any time thereafter (and from time to time) owned by the company together with all allotments and all stocks shares loan capital securities bonds investments rights money property accruing deriving offered or paid from time to time by way of dividend distrubution interest exchange capital reorganisation conversion redemption bonus rights preference option or otherwise in respect thereof all dividends distributions scrip interest or other moneys which may at any time accrue or be declared made or paid on or in respect of any of the securities.
