All right title and interest acquired by the borrower in respect of the feature film entitled "mayday" (the new asset) including distribution rights therein and the benefit of the distribution agreement dated 12TH june 1998 between gemini filmproduktiongesellschaft mbh and the borrower and all physical material relating to such new asset together with the benefit of the distribution agreements relating to exploitation of the new asset and the loan account and all monies standing to the credit thereof.
