Any present or future debt the ownership of which shall fail to vest absolutely and effectively in the chargee for any reason together with the related rights pertaining to such debt and other debts being all amounts of indebtedness now or at any time hereafter owing to the account other thay (a) the factored debts and (b) the scottish debts; all as debt, scottish debts and related rights are defined in the agreement.
