Debenture - all monies 1. a specific charge over all the undertaking of the company, its property and assets whatsoever and wheresoever both present and future including goodwill and uncalled capital. 2. a specific charge over the plant and machinery of the company as detailed in part ii of the schedule. It is provided that the company is not at liberty to create any mortgage or charge ranking in priority to or pari passu herewith or sell or assign or grant any licence to occupy the property hereby charged without the prior written consent of the bank.
