Brief description
Each of the chargors (to the extent of their right, title and interest therein) as a continuing security to secure repayment of the secured sums (if any), subject only to the recoupment provisions of and the rights and prior security and other interests of the producer and the commissioning distributor under the production agreements, the interparty agreement and security agreements entered into in favour of the producer and/or the commissioning distributor in relation to the film (but only insofar as the chargor owns such rights) charges absolutely to the guarantor all present and future rights, title and interest of the chargor of and in the film and in the script and all other written and musical matter embodied or to be embodied or used in the film or acquired in connection with its production and the negative and prints thereof and all rights of representing, exploiting and exhibiting the same.. Negative pledge.. Subject always to the rights of the commissioning distributor (including those set out in the interparty agreement) the company and the producer shall not create, grant or permit to subsist any mortgage, security interest or charge, whether fixed or floating (other than any created by or pursuant to the production agreements, the terms of the interparty agreement and any agreements pursuant to which the commissioning distributor has granted rights to distribute the film) on or over all or any part of the charged property, whether ranking in priority to, behind or pari passu with the security hereby created.
