Pursuant to a debenture dated 1 march 2019 made between 71 nile street ("the mortgagor") (1) and close brothers limited the bank") ("the mortgage debenture") (2) the mortgagor charges to the bank with full title guarantee its undertaking and all its property and other assets of whatsoever nature both present and future including its uncalled capital for the time being and the security hereby created shall rank by way of:. A) a fixed charge of the following namely all estates and other interests in freehold leasehold and/or unregistered immovable property wheresoever situate now or hereafter belonging to the mortgagor and all buildings fixtures and fittings and fixed plant and machinery from time to time on any such freehold leasehold and other immovable property;. B) a fixed equitable charge of all estate or interests in any freehold or leasehold property at any time in the future belonging to the mortgagor and all buildings fixtures and fittings and fixed plant and machinery from time to time on any such property at any time during the continuance of this security belonging to the mortgagor;. C) a fixed charge by way of legal mortgage on the plant and machinery chattels vehicles computers and/or other equipment of the mortgagor;. D) a fixed charge of all stocks, shares, loan capital, bonds or other investments and securities now or at any time during the continuance of this security belonging to the mortgagor together with all dividends or other rights and interests in respect thereof;. E) a fixed charge by way of assignment of all its goodwill and by way of a fixed charge its uncalled capital now or at any time hereafter in existence and future calls;. F) a fixed charge by way of legal assignment of the book debts of the mortgagor and all other monetary debts and claims and all cash at bank or owing to the mortgagor;. G) a fixed charge by way of legal assignment on all the copyright in all drawings, designs, specifications, plans and other written materials relating to any products manufactured by the mortgagor and all other intellectual property rights;. H) a fixed charge by way of assignment of the benefit to the mortgagor of all rights and claims to which the mortgagor is now or may become entitled in relation to the real property;. I) a fixed charge by way of assignment:. I. The benefit of all guarantees, warranties and representations given or made by and any rights or remedies against all or any of the professional advisors engaged by the mortgagor in relation to the charged property;. Ii. The benefit of all rights and claims to which the mortgagor is now or may hereafter become entitled under all building contracts relating to all or part of the real property entered into by the mortgagor;. J) a fixed charge by way of assignment (in so far as the mortgagor is able to):. I. The benefit of all agreements for lease and all the proceeds of any payment of any claim, awards, judgments arising out of such agreements and all sums paid or payable to the mortgagor in respect of such agreements;. Ii. The benefit of all rental income and all right, title and interest to and in the same;. Iii. All that interest of the mortgagor in any contracts and policies of insurance effected or maintained in respect of the real property;. K) a floating charge on all the undertaking and all other stock-in-trade work in-progress pre-payments and other property assets and rights of the mortgagor both present and future and not subject to a fixed charge or assignment hereunder and paragraph 14 of schedule B1 of the insolvency act 1986 applies to the floating charge so created.
