By clause 1.1.4.2 of the agreement if in breach of the obligation set out in clause 1.1.3 of the agreement the company shall sell or otherwise dispose of the goods the company shall hold the proceeds of such sale or other disposition on trust for buhler and shall not mingle such proceeds with other monies and shall not pay the proceeds into any overdrawn bank account but shall pay such proceeds into a separate account with its bankers and advise such bankers that it holdes the entire proceeds of that account on trust for buhler.
