1. by way of legal mortgage, all land in england and wales now vested in goodwill solutions CIC and not registered at the land registry;. 2. by way of fixed charge:. 2.1 all other land which is now, or in the future becomes the property of goodwill solutions CIC and all interests and rights in or relating to land now or in the future belonging to goodwill solutions CIC;. 2.2 all intellectual property presently belonging to goodwill solutions CIC, including any intellectual property to which goodwill solutions CIC is not absolutely entitled or to which goodwill solutions CIC is entitled with others;. 2.3 all intellectual property that may be acquired by or belong to goodwill solutions CIC in the future, including any such intellectual property to which goodwill solutions CIC is not absolutely entitled or to which it is entitled together with others;. 2.4 the benefits of all agreements and licences now or in the future entered into or enjoyed by goodwill solutions CIC relating to the use or exploitation of any intellectual property in any part of the word. 2.5 all rights of goodwill solutions CIC now or in the future in relation to trade secrets, confidential information and knowhow in any part of the world;. 2.6 all goodwill solutions CIC’s rights and causes of actions in respect of infringement(s) (past present or future) of the rights referred to at (2.2-2.5 above).
