The payment and performance by torero investment holdings limited (the "company") of its obligations under a sale and repurchase agreement of even date among the company, gs global funding 111, co. And barclays bank PLC under the sale and repurchase agreement, the company will become obliged, inter alia, to pay the purchase price (the "price") for a repurchase by it of certain securities. The amount of the price will equal us$1,200,000,000 together with an additional variable amount depending on the date on which the repurchase occurs
