In favour of chase manhattan international limited (acting as the security agent for the finance parties pursuant to the facilities agreement) the unpaid principal of and interest on (including interest accruing on or after the filing of any petition in bankruptcy, reorganisation or like proceeding, relating to the company, whether or not a claim for post-filing or post-petition interest is allowed in such proceeding) the obligations and liabilities of the company under the composite guarantee and debenture dated 18TH march 1999 between suber interholdco 1 limited ("interholdco") and the security agent (the "debenture"), as the debenture may be amended or supplemented from time to time, whether direct or indirect, absolute or contingent, due or to become due, or now existing or hereafter incurred, which may arise under, out of, or in connection with various documents (all as defined)

The company hereby: (a) delivers to the security agent all the shares of capital stock of rebus systems inc. ("Rsi") listed in schedule 1 of the share pledge, together with all stock certificated options or rights of any nature whatsoever that may be issued or granted by rsi to the company ("the pledged stock") in connection with the pledged stock while the share pledge is in effect;.
