Brief description
The chargor with full title guarantee charges to the lender, by way of a legal mortgage, all estates or interests in any freehold or leasehold property now owned by it, including the real property described in schedule 1 (but excluding any short leasehold property).. Property in schedule 1: none at the date of this deed.. The chargor with full title guarantee charges to the lender by way of a fixed charge:. - all present and future estates or interests of the chargor in, or over, any freehold or leasehold property (other than any such property effectively mortgaged under as mentioned above) (but excluding any short leasehold property); and. - all the intellectual property.. “Short leasehold property” means any leasehold property with an unexpired term of 15 years or less and in respect of which the chargor pays a market rent.. “Intellectual property” means:. 1. any patents, trade marks, service marks, designs, business names, copyrights, database rights, design rights, topography rights, domain names, moral rights, inventions, confidential information, knowhow and any other associated or similar intellectual property rights and interests anywhere in the world (which may now or in the future subsist), and in each case whether registered or unregistered; and. 2. the benefit of all applications, rights to apply for and rights to use such assets (including, without limitation, any licences and sublicences of the same) (which may now or in the future subsist).
