The directors present the strategic report for the year ended 31 December 2021.
Principal activities and review of the business
On 7 January 2022, the company passed a special resolution to change the name of the company from Ferranti Technologies Limited to ESUK Aerospace and Simulation Limited.
The principal activities of the company continue to be the design, development, manufacture and after‑market support of a wide range of products and technologies for the aerospace and defence market, including:
Key to the on-going success of the company is its ability to deliver innovative and bespoke products and services to help provide solutions to our key customers’ needs for use in extreme environments and safety critical applications common in the aerospace and defence industries. This is delivered through Ferranti’s own turnkey design, engineering and manufacturing capabilities as well as leveraging the links that exist through the larger Elbit Systems group.

The directors report turnover of £31,862,000 (2020 – £27,010,000) and an operating profit of £134,000 (2020 – profit £1,664,000) for the year to 31 December 2021. The decrease from 2020 is attributable to serious competition in the marketplace and additional unforeseen costs incurred on certain projects.
The closing order book stands at £147,374,000 (2020 – £49,220,000). The order book includes further contract wins in 2021 with the UK MoD, Bae and Rolls Royce. The new business orders won in 2021 were £11,950,000 (2020 - £46,004,000).
Despite the current constraints on the UK MoD budgets, there is still a very accessible large market with considerable opportunities for the company’s products and services, which we are well placed to secure. As our products also cover the commercial aerospace market this gives us some diversification to offset any fluctuations in demand from defence customers, where we have secured long term agreements with some key customers.

Principal risks and uncertainties
There is always the threat of Government budgetary cut backs in defence programmes and a cyclical downturn in commercial air travel and aircraft build rates. Although there are signs that some defence programmes may still be subject to cutback or delay, the overall UK market is still robust.
The aerospace market is however very competitive, and airlines are always under pressure to reduce costs. This may require customers to look towards low cost economies to find savings. We do however have some options to offer this within the wider Elbit Group to utilise their other subsidiaries in for example Romania and Brazil.
The company’s position on a number of platforms covering the air, land and naval sectors also provides resilience in the event of a downturn in a single sector of the market, combined with the end customers' need to support older platforms for longer if new programmes are delayed. We can take advantage of this with our CLS (Customer Logistic Support) facilities.
The company has a number of contracts traded in Euro’s and Dollars. It must be recognised that the instability of the pound could impact these contracts. The company manages foreign exchange risk using hedging techniques relevant to the size and duration of each contract in order to minimize where possible any exposure.
On 11 March 2020, the World Health Organisation officially declared COVID-19, the disease caused by novel coronavirus, a pandemic.
Management

of this pandemic, including how it may affect the company, the economy and the general population

The threat from the pandemic is now dwindling, however w
e currently have an appropriate response plan in place, and we will continue to monitor and assess the
future effects
and respond accordingly.
The company has considerable financial resources together with a number of long term contracts with various customers. As a consequence, the directors believe that the company is well placed to manage its business risks successfully despite the current uncertain economic outlook.
The directors know of no reason to believe that any uncertainty exists that would cast any doubt over the ability of the group to continue as a going concern and therefore the directors continue to adopt the going concern basis of accounting in preparing the annual financial statements.

Results and dividends
The results for the year are set out on page 8.
No ordinary dividends were paid. The directors do not recommend payment of a final dividend.
Market value of land and buildings
Although there have been no formal valuations carried out in the year for the company's land and buildings, the directors believe the market value to be in excess of book value.
Research and development
The group continues to invest in research and development to enhance our product base and capability, and in addition are being supported by our parent undertaking to invest in new products.
Post reporting date events
On 7 January 2022, the trade and assets of the company’s power and control business were disposed of to TT Electronics Power Solutions (UK) Limited, a subsidiary of TT Electronics PLC Group for a total cash consideration of £8.4 million. All company employees relating to the power and control business were transferred to TT Electronics Power Solutions (UK) Limited on 7 January 2022 under the Transfer of Undertakings (Protection of Employment) Regulations 2006. The company expects to continue its activities in the future via the remaining trade and assets.
Auditor
The auditor, Edwards, is deemed to be reappointed under section 487(2) of the Companies Act 2006.
Energy and carbon report
As the company has not consumed more than 40,000 kWh of energy in this reporting period, it qualifies as a low energy user under these regulations and is not required to report on its emissions, energy consumption or energy efficiency activities.
Statement of disclosure to auditor
So far as each person who was a director at the date of approving this report is aware, there is no relevant audit information of which the company’s

The directors are responsible for preparing the annual report and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. In preparing these financial statements, the directors are required to:

We have audited the financial statements of ESUK Aerospace and Simulation Limited (the 'company') for the year ended 31 December 2021 which comprise the statement of comprehensive income, the statement of financial position, the statement of changes in equity and notes to the financial statements, including significant accounting policies.
The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102

In our opinion the financial statements:

Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report.

The directors are responsible for the other information contained within the annual report. Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud, is detailed below

We obtained an understanding of the legal and regulatory frameworks within which the Company operates, focusing on those laws and regulations that have a direct effect on the determination of material amounts and disclosures in the financial statements. The laws and regulations we considered in this context were the Companies Act 2006, taxation legislation and health & safety regulations compliance.
We identified the greatest risk of material impact on the financial statements from irregularities, including fraud, to be in the following areas: recognition of income, the override of controls by management, revenue journals, inappropriate treatment of non-routine transactions and areas of estimation uncertainty specifically relating to the revenue and profit recognition relating to long term contracts and
both stock and warranty provisioning
. Our audit procedures to respond to these risks included enquiries of management about their own identification and assessment of the risks of irregularities, review and discussion of non-routine transactions, sample testing on the posting of journals and review of accounting estimates for biases.
Owing to the inherent limitations of an audit, there is an unavoidable risk that we may not have detected some material misstatements in the financial statements, even though we have properly planned and performed our audit in accordance with auditing standards. We are not responsible for preventing non-compliance and cannot be expected to detect non-compliance with all laws and regulations.

Turnover
Turnover is the total amount, excluding value added tax, receivable by the company in the
o
rdinary course
of business for goods supplied and services provided as a principal.
Revenue from the sale of goods is recognised when the significant risks and rewards of ownership of the goods have passed to the buyer
(usually on dispatch of the goods)
, the amount of revenue can be measured reliably, it is probable that the economic benefits associated with the transaction will flow to the entity and the costs incurred or to be incurred in respect of the transaction can be measured reliably.
Sales of services and long-term contracts are recognised when the outcome of the transaction can be reliably estimated. Turnover is recognised by reference to the stage of completion based on services performed to date as a percentage of the total contractual obligation.
Property income is recognised on an accruals basis on when risks and rewards are passed to the tenant.

Research and development expenditure
Research
and development
expenditure is written off against profits in the year in which it is incurred.

Tangible fixed assets
Tangible fixed assets
are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.
Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

No depreciation is provided on freehold land.
The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and

Land and buildings are carried at deemed cost which was assessed at the date of transition to FRS 102.

Impairment of fixed assets
At each reporting
period
end date, the
company
reviews the carrying amounts of its tangible
and intangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any). Where it is not possible to estimate the recoverable amount of an individual asset, the
company
estimates the recoverable amount of the cash-generating unit to which the asset belongs.

Stocks
Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost comprises direct materials and, where applicable, direct labour costs and those overheads that have been incurred in bringing the stocks to their present location and condition.
Stocks held for distribution at no or nominal consideration are measured at the lower of cost and replacement cost, adjusted where applicable for any loss of service potential.
At each reporting date, an assessment is made for impairment. Any excess of the carrying amount of stocks over its estimated selling price less costs to complete and sell is recognised as an impairment loss in profit or loss. Reversals of impairment losses are also recognised in profit or loss.

Long-term contracts
The amount of profit attributable to the stage of completion of a long term contract is recognised when the outcome of the contract can be foreseen with reasonable certainty. Turnover for such contracts is stated at the cost appropriate to their stage of completion plus attributable profits, less amounts recognised in previous years. Provision is made for any losses as soon as they are foreseen.
Contract work in progress is stated at cost incurred, less those transferred to the profit and loss account, after deducting foreseeable losses and payments on account not matched with turnover.
Amounts recoverable on contracts are included in debtors and represents turnover recognised in excess of payments on account.
Payments on account in excess of amounts matched with turnover and offset against long-term contract balances are separately disclosed within creditors.

Cash and cash equivalents
Cash and cash equivalents
are basic financial assets
and
include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts.

Financial instruments
The company has elected to apply the provisions of Section 11 ‘Basic Financial Instruments’ and Section 12 ‘Other Financial Instruments Issues’ of FRS 102 to all of its financial instruments.

Impairment of financial assets
Financial assets, other than those
held
at
fair value through profit and loss
, are assessed for indicators of impairment at each reporting end date.
Financial assets are impaired where there is objective evidence that, as a result of one or more events that occurred after the initial recognition of the financial asset, the estimated future cash flows have been affected.
If an asset is impaired, the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset’s original effective interest rate. The impairment loss is recognised in profit or loss.
If there is a decrease in the impairment loss arising from an event occurring after the impairment was recognised, the impairment is reversed. The reversal is such that the current carrying amount does not exceed what the carrying amount would have been, had the impairment not previously been recognised. The impairment reversal is recognised in profit or loss.
Derecognition of financial assets
Financial assets are derecognised only when the contractual rights to the cash flows from the asset expire or are settled, or when

Taxation
The tax expense represents the sum of the tax currently payable and deferred tax.
Current tax
The tax currently payable is based on taxable profit for the year. Taxable profit differs from net profit as reported in the
income statement
because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The
company’s
liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.
Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.
The carrying amount of deferred tax assets is reviewed at each reporting end date and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax is calculated at the tax rates that are expected to apply in the period when the liability is settled or the asset is realised. Deferred tax is charged or credited in the

Judgements and key sources of estimation uncertainty
In the application of the company’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
Critical judgements
The following judgements (apart from those involving estimates) have had the most significant
effect on amounts recognised in the financial statements.
Stock
Stock is valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items. Net realisable value is based on selling price less anticipated costs to completion and selling costs.
Warranty
Provision is made for the estimated future costs to be incurred on repairs to a number of contracts carried out.
Long-term contracts
The amount of profit attributable to the stage of completion of a long term contract is recognised when the outcome of the contract can be foreseen with reasonable certainty. Turnover for such contracts is stated at the cost appropriate to their stage of completion plus attributable profits, less amounts recognised in previous years. Provision is made for any losses as soon as they are foreseen.
Contract work in progress is stated at cost incurred, less those transferred to the profit and loss account, after deducting foreseeable losses and payments on account not matched with turnover.

Factors affecting future tax charges

Events after the reporting date
On 7 January 2022, the trade and assets of the company’s power and control business were disposed of to TT Electronics Power Solutions (UK) Limited, a subsidiary of TT Electronics PLC Group for a total cash consideration of £8.4 million. All company employees relating to the power and control business were transferred to TT Electronics Power Solutions (UK) Limited on 7 January 2022 under the Transfer of Undertakings (Protection of Employment) Regulations 2006. The company expects to continue its activities in the future via the remaining trade and assets.

Related party transactions
The company has taken advantage of the exemption conferred within FRS102 section 33.1A not to disclose transactions between wholly owned members of the same group.

The company is a subsidiary undertaking of Elbit Systems Limited, a company incorporated in Israel, which is the ultimate parent undertaking and controlling party.
