1.1
Accounting convention
These financial statements have been prepared in accordance with Section 1A of FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime.

The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
1.2
Going concern
During the period ended 31 August 2014 the company acquired the shares of Control Energy Costs Holdings Limited and its trading subsidiary, Control Energy Costs Limited. In order to finance this acquisition the company issued £1,018,000 loan notes, with a further £3,054,000 of deferred consideration secured against assets of the company and its subsidiaries payable over eight years. Subsequently, the payment periods have been renegotiated and run until March 2025. The total balance outstanding at 31 December 2021 was £2,000,218. At the Balance Sheet date the company had net current liabilities of £851,107. The directors have considered the company's and group's ability to meet the renegotiated loan repayments and expect these payments to be met as they fall due.

With the majority of group income being generated via commission linked to client energy consumption, COVID and the various lockdowns throughout 2020 had a big impact on turnover. However, 2021 has seen a significant upturn in the turnover from commissions on sales from a diverse portfolio which has helped to minimise that impact and the Directors are confident that new revenue streams secured during the past 12 months puts the business back on track for turnover and operating profit in 2022 and beyond to be significantly up. An ongoing commitment to invest in a bespoke CRM system (CECIL) together with plans for a permanent change to a flexible working environment for all staff will put the business in a strong position to ensure ongoing success regardless of how long the commercial effects of COVID last.
While the group took advantage of the Coronavirus Job Retention Scheme previously, there has been no return to such schemes during 2021. The Directors believe that steps which have been taken put the business in a good position with cashflow and do not see any immediate issues with liquidity to meet its financial commitments. As a result, the Directors continue to adopt the Going Concern basis in preparing the financial statements.

1.5
Financial instruments
The company only has financial instruments classified as basic and measured at amortised cost. The company has no financial instruments that are classified as 'other' or financial instruments measured at fair value.
1.6
Equity instruments
Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
1.7
Taxation
The tax expense represents the sum of the tax currently payable and deferred tax.
Current tax
The tax currently payable is based on taxable profit for the year. Taxable profit differs from net profit as reported in the
profit and loss account
because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The
company’s
liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.
Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.
The carrying amount of deferred tax assets is reviewed at each reporting end date and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax is calculated at the tax rates that are expected to apply in the period when the liability is settled or the asset is realised. Deferred tax is charged or credited in the
profit and loss account
, except when it relates to items charged or credited directly to equity, in which case the deferred tax is also dealt with in equity. Deferred tax assets and liabilities are offset when the
company
has a legally enforceable right to offset current tax assets and liabilities and the deferred tax assets and liabilities relate to taxes levied by the same tax authority.

The financial statements present information about the company as an individual undertaking and not about its group. The company and its subsidiary undertakings comprise a small-sized group. The company has therefore taken advantage of the exemptions provided by section 399 of the Companies Act 2006 not to prepare group accounts.

Judgements and key sources of estimation uncertainty
In the application of the company’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.
The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
Key sources of estimation uncertainty
The estimates and assumptions which have a significant risk of causing a material adjustment to the carrying amount of assets and liabilities are
as follows.
Interest rate on interest free loan
Under FRS 102, long term loans that are at a below market rate of interest are required to be measured at amortised cost by discounting the initial repayment amount at the date of inception of the loan using a market rate of interest. This has required the directors to estimate the market rate of interest at which they would be able to borrow.
