Basis of preparing the financial statements |
Going concern |
The directors have expressed their intention to provide sufficient funds to the company as and when needed to enable it to continue operating and also to meet its liabilities as they fall due. |
At the time of approving the financial statements, the directors have reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. The company therefore continues to adopt the going concern basis of accounting in preparing the financial statements. |
Preparation of consolidated financial statements |
The financial statements contain information about Aquila Property Investments (UK) Ltd as an individual company and do not contain consolidated financial information as the parent of a group. The company is exempt under Section 399(2A) of the Companies Act 2006 from the requirements to prepare consolidated financial statements. |
Investments in subsidiaries |
Investments in subsidiary undertakings are recognised at cost. |
Financial instruments |
The company only enters into basic financial instruments transactions that result in the recognition of financial assets and liabilities like trade and other accounts receivable and payable, loans from banks and other third parties. |
Basic financial instruments are recognised at amortised cost, except for investments in non-convertible preference and non-puttable ordinary shares which are measured at fair value, with changes recognised in profit or loss. Derivative financial instruments are initially recorded at cost and thereafter at fair value with changes recognised in profit or loss. |

Cedar Holdings Limited |
Cedar Holdings Limited, a company incorporated in Guernsey but managed and controlled in United Kingdom, was the immediate parent company until 25 November 2021 when its entire shareholding in Aquila Property Investments (UK) Ltd was transferred via a share for share exchange to Aegis & Trident Capital Limited before it was dissolved on 15 June 2022. Cedar Holdings Limited was owed £Nil (2021 - £607,959) by the company. This transaction was done following tax clearance duly obtained from HMRC. |
Aegis & Trident Capital Limited |
Aegis & Trident Capital Limited, the current parent company, is incorporated in England and Wales in which both Mrs M Naderi and Mr A Theodorou are directors. At the balance sheet date, Aegis & Trident Capital Limited was owed £608,390 (2021 - £Nil) by the company. This is an unsecured interest-free loan which is repayable on demand. |
Fulham Properties Limited |
Fulham Properties Limited is a subsidiary company incorporated in England and Wales in which Mr A Theodorou is also a director. The company holds 64.28% of the issued ordinary share capital in Fulham Properties Limited. At the balance sheet date, Fulham Properties Limited was owed £58,992 (2021 - £51,372) by the company. This is an unsecured interest-free loan which is repayable on demand. |
Alim Properties Ltd |
Alim Properties Ltd is a company incorporated in England and Wales in which Mr A Wahid is a director and it owns 28.68% of the issued ordinary share capital in Fulham Properties Limited. At the balance sheet date, Alim Properties Ltd was owed £4,407 (2021 - £4,407) by the company which is included under other creditors.
