The directors have pleasure in presenting their Strategic Report for the year ended 31 March 2023.
Principal Activities
The principal activity of the Company continued to be that of scrap metal recycling and delivery of total waste management solutions. There has been no significant change in those activities during the year. Review of Business Turnover for the year under review was £26,347,720 (2022 £28,994,571) representing a noticeable decrease of 10.05% (2022 an increase of 55.39%). Given that 2022 showed a substantial increase it was inevitable 2023 was likely to see a decrease, that said turnover for 2023 is still up by 41.20% compared to that of 2021 which we find extremely reassuring. As a result of the decrease in turnover, profit before taxation was £3,796,164 (2022 £5,458,994) representing another highly satisfactory set of trading results. Due to supply chain issues, capital expenditure was lower than expected which led to a higher number of capital commitments at the year end. Unfortunately this is still the case as at today’s date but we are positive a good number of these commitments will be fulfilled by the end of this calendar year thus keeping our running fleet up to date in order to continue with the premium service we strive to achieve.
The directors consider that the following are principal risk factors that could materially and adversely affect the Company’s future operating profits or financial position:
• The principal market in which the company operates is extremely competitive resulting in pressure on margins. Our policies of constant price monitoring, ongoing market research and retaining adequate stock levels are imperative in maintaining our margins to ensure material is purchased from our suppliers at a competitive price, whilst providing a first class service to meet their expectations. • The business has exposure to both scrap metal prices and arisings, both of which are linked to the global economic environment. Aggressive competition for the market in the Far East has continued to affect global demand and dictate the market price for the sale of stock, and therefore sales to mainland Europe have increased to supplement this fall. The company has a successful track record of managing these risks when required. The directors are confident that they have in place a strong and commercially astute management team capable of dealing with the above iissues as and when necessary in order to eradicate any risks coming to fruition.
The principal key performance indicators used by management to monitor performance are as follows:
• Gross margin and operating profit indicators per tonne, • Changes in sales and purchasing volumes and prices, and • Various working capital measures. The results of the Company for the year are set out in the profit and loss account on page 9 and in the related notes.

The directors present their report and the financial statements for the year ended 31 March 2023.
The directors are responsible for preparing the Strategic Report, the Directors' Report and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice), including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland'. Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Company and of the profit or loss of the Company for that period.
In preparing these financial statements, the directors are required to:
∙select suitable accounting policies for the Company's financial statements and then apply them consistently;
∙make judgments and accounting estimates that are reasonable and prudent;
∙prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the Company's transactions and disclose with reasonable accuracy at any time the financial position of the Company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
The profit for the year, after taxation, amounted to £3,069,026 (2022 - £4,432,509).

INDEPENDENT AUDITORS' REPORT TO THE MEMBERS OF NATIONWIDE METAL RECYCLING LTD
We have audited the financial statements of Nationwide Metal Recycling Ltd (the 'Company') for the year ended 31 March 2023, which comprise the Profit and Loss Account, the Balance Sheet, the Statement of Cash Flows, the Statement of Changes in Equity and the related notes, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
With respect to closing stocks of ferrous metals having a carrying amount of £1,260,960, and opening stocks of ferrous metals having a carrying amount of £1,289,530, the audit evidence available to us was limited because tonnages held were estimated and not physically weighed. Owing to the nature of the company‘s records, we were unable to obtain sufficient appropriate audit evidence regarding the stock quantities by using other audit procedures.
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the Company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the United Kingdom, including the Financial Reporting Council's Ethical Standard and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.
In our opinion, based on the work undertaken in the course of the audit:
∙the information given in the Strategic Report and the Directors' Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and
∙the Strategic Report and the Directors' Report have been prepared in accordance with applicable legal requirements.
In the light of the knowledge and understanding of the Company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Directors' Report.
Arising solely from the limitation on the scope of our work relating to stock, referred to above:
• we have not obtained all the information and explanations that we considered necessary for the purpose of our audit; and • we were unable to determine whether adequate accounting records have been kept.
We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 requires us to report to you if, in our opinion:

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below.
The objectives of our audit in respect of fraud, are; to identify and assess the risks of material misstatement of the financial statements due to fraud; to obtain sufficient appropriate audit evidence regarding the assessed risks of material misstatement due to fraud, through designing and implementing appropriate responses to those assessed risks; and to respond appropriately to instances of fraud or suspected fraud identified during the audit. However, the primary responsibility for the prevention and detection of fraud rests with both management and those charged with governance of the Company. Our approach was as follows: • We obtained an understanding of the legal and regulatory requirements applicable to the Company and considered that the most significant are the Companies Act 2006, UK financial reporting standards as issued by the Financial Reporting Council, and UK taxation legislation. • We obtained an understanding of how the Company complies with these requirements by discussions with management and those charged with governance. • We assessed the risk of material misstatement of the financial statements, including the risk of material misstatement due to fraud and how it might occur, by holding discussions with management and those charged with governance. • We inquired of management and those charged with governance as to any known instances of non- compliance or suspected non-compliance with laws and regulations. • Based on this understanding, we designed specific appropriate audit procedures to identify instances of non-compliance with laws and regulations. This included making enquiries of management and those charged with governance and obtaining additional corroborative evidence as required.

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

The Company is a private company limited by shares and is incorporated in England and Wales. The registered office address of the Company is Roundwood Farm, Bentley Lane, Stutton, Ipswich, Suffolk, IP9 2SY.
The principal place of business of the Company is Unit 11 Martells Quarry, Slough Lane, Ardleigh, Colchester, CO7 7RU. The continuing activity of the Company is that of scrap metal recycling and delivery of total waste management solutions.
2.Accounting policies
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.
The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgment in applying the Company's accounting policies (see note 3).

The Company adds to the carrying amount of an item of fixed assets the cost of replacing part of such an item when that cost is incurred, if the replacement part is expected to provide incremental future benefits to the Company. The carrying amount of the replaced part is derecognised. Repairs and maintenance are charged to profit or loss during the period in which they are incurred.

Land is not depreciated. Depreciation on other assets is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line and reducing balance methods.
Depreciation is provided on the following basis:
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.
Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.
At each balance sheet date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to its selling price less costs to complete and sell. The impairment loss is recognised immediately in profit or loss.

Provisions are charged as an expense to profit or loss in the year that the Company becomes aware of the obligation, and are measured at the best estimate at the balance sheet date of the expenditure required to settle the obligation, taking into account relevant risks and uncertainties. When payments are eventually made, they are charged to the provision carried in the Balance Sheet.
The Company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other debtors and creditors, loans from banks and other third parties and loans to related parties.
Debt instruments (other than those wholly repayable or receivable within one year), including loans and other accounts receivable and payable, are initially measured at present value of the future cash flows and subsequently at amortised cost using the effective interest method. Debt instruments that are payable or receivable within one year, typically trade debtors and creditors, are measured, initially and subsequently, at the undiscounted amount of the cash or other consideration expected to be paid or received.

Stock The directors make an estimate of the tonnage of ferrous metals held in stock at the year end. This is based upon their knowledge of stock movements and physical inspection of the stock held. Tyre wire provision A provision has been made for the estimated costs of disposal of tyre wire that the company is contractually committed to. The directors make an estimate of the tonnage of tyre wire held by the company at the year end, which is based upon their knowledge of the original tonnage acquired and any subsequent movements. This is then multiplied by the estimated disposal cost per tonne, based on actual costs incurred in the year. During the year the provision has been written off as the tyre wire is now being used. Useful economic lives of tangible fixed assets The annual depreciation charge for tangible assets is sensitive to changes in the estimated useful economic lives and residual values of the assets. The useful economic lives and residual values are reassessed annually. They are amended when necessary to reflect current estimates, based on technological advancement, future investments, economic utilisation and the physical condition of the assets. See note 13 for the carrying amount of the tangible assets and note 2.9 for the useful economic lives for each class of assets.
The whole of the turnover is attributable to the company's principal activity, being that of scrap metal recycling and delivery of total waste management solutions.

The Company operates a defined contributions pension scheme. The assets of the scheme are held separately from those of the Company in an independently administered fund. The pension cost charge represents contributions payable by the Company to the fund and amounted to £69,363 (2022 - £49,374). Contributions totalling £11,397 (2022 - £9,762) were payable to the fund at the balance sheet date and are included in creditors.
The Company has no controlling party.
