Fixed charge any debt pursuant to the agreement which fails to vest absolutely and effectively in the factor for any reason (the "specified debts") and all amounts of indebtedness due or owing on any account whatsoever (other than the specified debts) together with the related rights pertaining to such debts (the "other debts") and a floating charge all the property other than such of the property as shall be subject to the fixed charge.
