Principal activities |
During the year to 31 March 2015 the company's principal activity has been the distribution of newspapers.

Review of the business |
The business of this comapny was transferred to Farnham Castle Newspapers Limited, a fellow subsidiary on 1 October 2013. The directors draw attention to the fact that the company would be insolvent except for the continuing support of the parent and fellow subsidiary undertakings. |
|
Financial instrument risk |
The company uses as its key performance indicators the revenue, operating profit and net profit amounts. The principal challenges facing the company arise from the vagaries of the economy in the United Kingdom leading to fluctuations in the advertising market. A full assessment of risk is disclosed in the accounts of the company's parent undertaking.

We have audited the financial statements of Tindle Distribution Centre Limited for the year ended 31 March 2015 which comprise the Profit and Loss Account, the Balance Sheet and the related notes. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). |
This report is made solely to the company's member, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's member those matters we are required to state to them in an auditors' report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's member as a body, for our audit work, for this report, or for the opinions we have formed. |
Respective responsibilities of directors and auditor |
As explained more fully in the Directors' Responsibilities Statement, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view. Our responsibility is to audit and express an opinion on the financial statements in accordance with applicable law and International Standards on Auditing (UK and Ireland). Those standards require us to comply with the Auditing Practices Board's (APB's) Ethical Standards for Auditors.

Opinion on the financial statements |

In our opinion the information given in the Directors' Report for the financial year for which the financial statements are prepared is consistent with the financial statements. |
Matters on which we are required to report by exception |
We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion: |

adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or |

the financial statements are not in agreement with the accounting records and returns; or |

Accounting policies |
|

Basis of preparation |
|
The accounts have been prepared under the historical cost convention and in accordance with applicable United Kingdom Accounting Standards. The financial statements have also been prepared on the going concern basis, based on assurances from the parent and fellow group undertakings that they will continue to provide support for the foreseeable future. The company has taken advantage of the exemption in Financial Reporting Standard No 1 from the requirement to produce a cash flow statement on the grounds that it is a wholly-owned subsidiary whose results are included in the publicly available consolidated accounts of the ultimate parent company.

Turnover |
|
Turnover represents amounts receivable for goods and services net of VAT and trade discounts. Turnover is attributable to the company's main activity, the distribution of weekly newspapers which has now been transferred to a fellow subsidiary and the sale of waste paper products for recycling. The waste paper is recognised at the time of delivery.

Deferred taxation |
|
Full provision is made for deferred taxation resulting from timing differences between the recognition of gains and losses in the accounts and their recognition for tax purposes. Deferred tax is calculated at the tax rates which are expected to apply in the periods when the timing differences will reverse, and discounted to reflect the time value of money using rates based on the post-tax yields to maturity that could be obtained at the balance sheet date on government bonds with similar maturity dates.

Pensions |
|
The company is a member of the Farnham Castle Newspapers Limited Pension and Life Assurance Scheme, a defined benefit scheme operated by Tindle Newspapers Limited. The company has continued to account for the defined benefit scheme as if it were a defined contribution scheme, as permitted under FRS 17, as the defined benefit scheme is a multi-employer scheme where the assets of the scheme relating to the company cannot be separately identified on a reasonable basis.

The parent company is Tindle Newspapers Limited, a company registered in England and Wales. Tindle Press Holdings Limited and Tindle Newspapers Limited prepare group financial statements, copies of which can be obtained from the Registrar of Companies, Companies House, Crown Way, Maindy, Cardiff, CF14 3UZ.
