All monies due and payable under clauses 3.2.2 to 3.2.5 inclusive and clause 6 of an agreement of even date between john peter westwood and others (1) systems team PLC ("the borrower") (2) maxima information group PLC (3) and simdell limited (4) ("the sale agreement") together with interest thereon in accordance with clause 6.6 of the sale agreement and all monies due or payable under any loan notes (as defined in the sale agreement) issued pursuant to clause 6.2 of the sale agreement to the extent that the borrower's payment obligations under such loan notes are not guaranteed by a UK clearing bank to the satisfaction of the earnout directors (as defined in the sale agreement) and all other monies agreed to be paid or intended to be secured by a debenture of even date made between the borrower (1) and the lenders (2) together with interest and legal and other costs charges and expenses
